This Terms of Service Agreement governs your access to and use of holito's community experience platform and services provided by AIXR LTD.

1. Introduction and Overview

1.1 Purpose and Scope

This Terms of Service Agreement ("Agreement") is a legally binding contract between you ("User", "you", "Community Manager", or "Member") and AIXR LTD (company number 14982097) ("AIXR", "holito", "we", "us", or "our"), a company registered in the United Kingdom with registered office address 15 Eastwood Road, Rayleigh, Essex, United Kingdom, SS6 7JD.

This Agreement governs your access to and use of the holito community experience platform (the "Platform"), website ("holito.app" and "holi.to"), applications, services, and content (collectively, the "Services").

holito provides a comprehensive community experience platform that enables users to discover, join, create, and manage product communities; organize and participate in events (including paid ticketed events); integrate with external platforms like Discord, GitHub, and Slack; manage email campaigns; analyze community engagement; and host competitions, awards, and giveaways. Our Services are designed to help product communities build, engage, and measure their impact.

1.2 Acceptance of Terms

By accessing or using our Services, you agree to be bound by this Agreement, our Privacy Policy, our Community Guidelines, and any additional terms and conditions that may apply to specific features or services. If you do not agree to this Agreement, you must not access or use our Services.

You may not transfer any of your rights or obligations under these Terms to any third party without our prior written consent. Any unauthorized transfer will be considered a violation of these Terms and may result in termination of your account.

1.3 Changes to the Agreement

We reserve the right to modify or update this Agreement at our sole discretion. We will notify you of material changes by posting the updated version on our website or through other appropriate communication channels. Your continued use of our Services after the effective date constitutes acceptance of the updated Agreement.

If ownership or control of all or part of our Platform changes, we may transfer your information to the new owner. We will notify you of such changes and provide you with an opportunity to delete your account if you choose.

1.4 Applicable Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from this Agreement.

2. Eligibility and Account Creation

2.1 Age Requirements

Users must be at least 16 years old (or the minimum age for digital consent in your jurisdiction) to create an account on holito. By creating an account, you represent and warrant that you meet this age requirement. We reserve the right to request proof of age and may suspend or terminate accounts that do not meet this requirement.

2.2 Account Types and Plans

holito offers three subscription plans with different features and capabilities:

  • Personal (Free): Basic community participation with unlimited community joining, event discovery, and networking features
  • Pro (£54-£60/seat): Full community management capabilities including verified communities, advanced reporting, email campaigns, and AI analysis
  • Enterprise: Custom pricing and enterprise-grade features including SLA, SSO, SOC2 compliance, and dedicated support

Team accounts allow organizations to manage multiple user seats and billing centrally. Only authorized representatives should create team accounts.

2.3 Account Security and Information

You are responsible for providing accurate, current, and complete information during registration and for maintaining the confidentiality of your account credentials. You accept responsibility for all activities occurring under your account. We reserve the right to suspend or terminate accounts with inaccurate information or suspected unauthorized use.

2.4 Account Termination

We reserve the right to suspend or terminate accounts for violations of these Terms, applicable laws, or other reasons we deem necessary. You may cancel your membership at any time through the Platform. Cancellation must be completed before the renewal date to avoid charges for the next billing period.

3. Community Features and Responsibilities

3.1 Community Management

Product community managers have access to member data including names, email addresses, phone numbers (when provided), registration responses, and engagement analytics. This data sharing is essential for community management, event coordination, and member engagement.

By joining a community or registering for events, you consent to sharing your profile information with community managers and event organizers. Your basic profile information is visible to all platform users by default, even if you set your profile to private.

3.2 Events and Ticketing

holito enables community managers to create and manage both free and paid ticketed events. For paid ticketed events, holito transaction fees apply based on your subscription plan, which are in addition to payment processing fees charged by our payment gateway partner, Stripe:

  • • Personal Plan: 2.5% + 20p per paid ticket
  • • Pro Plan: 0% fees on paid tickets
  • • Enterprise Plan: 0% fees on paid tickets

You are responsible for managing your own Stripe account and any associated fees. Event organizers are responsible for event delivery, ticket refunds (where applicable), and compliance with local laws. holito facilitates payment processing but is not liable for event-related disputes.

3.3 Competitions and Awards

Community managers can host competitions, awards, and giveaways using our platform. Organizers are responsible for ensuring their competitions comply with applicable laws and regulations, including any required permits, tax obligations, and prize fulfillment.

3.4 Platform Integrations

holito supports integrations with Discord, GitHub, Slack, and other platforms. By connecting external accounts, you authorize data synchronization between platforms. You are responsible for managing permissions and data access for connected services.

4. Content and Conduct Guidelines

4.1 User-Generated Content

You retain ownership of content you upload but grant holito a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the content for platform operation, promotion, and improvement purposes.

You warrant that you have necessary rights to upload and share content, and that it does not infringe third-party rights. We reserve the right to remove content that violates these Terms or applicable laws.

4.2 Community Guidelines

Users must abide by our Community Guidelines, which outline expectations for respectful and constructive behavior. Violations may result in content removal, account suspension, or termination without refund.

4.3 Prohibited Activities

Users are prohibited from engaging in activities that harm the platform, other users, or violate applicable laws, including but not limited to harassment, spam, fraud, intellectual property infringement, or unauthorized data scraping.

4.4 Copyright and Intellectual Property

holito is not liable for copyright or intellectual property violations for infringing materials uploaded by users to the platform. Users are solely responsible for ensuring their uploaded content does not infringe third-party rights. 5. Subscription Terms and Pricing

5.1 Subscription Plans

holito offers monthly and annual subscription plans. Annual subscriptions receive discounted pricing. Subscriptions automatically renew unless cancelled before the renewal date. Pro plans include team seats with options to add additional seats.

5.2 Add-Ons and Premium Services

Additional services are available including extra email campaign capacity, extended AI analysis for tracked users, and Community as a Service (full community management by our expert team). Specific limits and pricing are updated regularly and can be found on your account and pricing pages.

5.3 Payment and Billing

Payments are processed through third-party processors. We do not store billing information directly. You authorize charges for applicable fees and are responsible for maintaining current payment information. Late payments may result in service suspension.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through the Platform. Cancellations take effect at the end of the current billing period. No refunds are provided for partially used billing periods. We reserve the right to modify pricing with 30 days' notice.

5.5 Taxes

You are responsible for any applicable taxes associated with your use of the Platform. Taxes may be added to subscription fees where required by law.

6. Data and Analytics

6.1 Data Collection and Usage

holito collects and analyzes community engagement data, user interactions, and platform usage to provide analytics, insights, and AI-powered conversational analysis. This data helps community managers understand member behavior and improve community experiences.

6.2 AI Analysis and Usage Limits

AI conversational analysis and other usage limits are subject to your subscription plan and are updated regularly. Current limits and pricing can be found on your account and pricing pages within the platform.

6.3 Data Privacy

Our data collection and usage practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference. We comply with UK GDPR, EU GDPR, and other applicable data protection laws.

7. Fair Use and Account Restrictions

7.1 Account Sharing Prohibition

Account credentials must not be shared. Each account is for individual use only. Team accounts should assign separate seats for each user. Violations may result in account suspension or termination.

7.2 Fair Use Policy

Users must use the Platform responsibly within reasonable limits. We may monitor and restrict usage that is excessive, disruptive, or negatively impacts platform performance or other users.

7.3 Email Campaign and Feature Limits

Email campaigns and other platform features are subject to plan limits that are updated regularly. Current limits can be found on your account and pricing pages. All email campaigns must comply with anti-spam laws and include unsubscribe options.

8. Intellectual Property Rights

8.1 Platform Rights

All intellectual property rights in the holito platform, including software, design, trademarks, and content, are owned by AIXR LTD or our licensors. You receive a limited, non-exclusive license to use the Platform in accordance with these Terms.

8.2 User Content Rights

You retain ownership of content you create but grant us necessary rights to operate the Platform. You must not upload content that infringes third-party intellectual property rights.

8.3 Copyright Infringement

We respect intellectual property rights and will respond to valid copyright infringement notices in accordance with applicable law. Repeat infringers may have their accounts terminated.

9. Disclaimers and Liability Limitations

9.1 Service Availability

We strive to provide reliable access to our Platform but cannot guarantee uninterrupted or error-free operation. The Platform may be subject to maintenance, updates, or circumstances beyond our control.

9.2 Disclaimer of Warranties

The Platform and Services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9.3 Liability Limitations

To the maximum extent permitted by law, our total liability for any claim shall not exceed the amount paid by you for Services during the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or exemplary damages.

9.4 Third-Party Content and Services

We are not responsible for third-party content, events, competitions, or services accessed through our Platform. Community managers and event organizers are responsible for their own activities and compliance with applicable laws.

10. Dispute Resolution and Miscellaneous

10.1 Informal Resolution

We encourage users to first contact our support team at [email protected] to resolve any issues. We are committed to addressing concerns promptly and fairly through informal discussion.

10.2 Formal Dispute Resolution

For disputes brought upon us by users, if informal resolution fails, disputes will be resolved through alternative dispute resolution methods such as mediation or arbitration before court action. Any legal claims must be filed within one (1) year of the cause of action arising.

10.3 Indemnification

You agree to indemnify and hold harmless AIXR LTD from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.

10.4 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to achieve its intended purpose to the extent legally permissible.
